1. Overview
These Terms of Service ("Terms") govern your use of the The Company website (https://siempreai.space) and the AI automation services provided by The Company, operated by Berde Botond Persoana Fizica Autorizata, registered in Romania.
By using our website or services, you agree to these Terms.
2. Services
The Company provides:
- AI-powered WhatsApp chatbot development and hosting
- Business automation workflows (n8n-based)
- Custom CRM development
- Automation consultancy
- Cloud infrastructure setup
Specific service details, deliverables, and timelines are agreed upon during the discovery call and confirmed in a separate service agreement.
3. Booking & Discovery Calls
- Discovery calls are free of charge (30 minutes)
- Automation consultancy sessions are €150 per session (60 minutes)
- Bookings made through the website are subject to confirmation
- We reserve the right to reschedule or cancel bookings with at least 24 hours notice
- You may cancel or reschedule your booking up to 24 hours before the scheduled time
4. Pricing & Payment
- All prices are listed in EUR and are exclusive of VAT unless otherwise stated
- Setup fees are one-time payments due before work begins
- Monthly fees are billed at the beginning of each month
- Payment terms: 15 days from invoice date
- We accept bank transfers (SEPA) and other payment methods as agreed
As an EU-registered freelancer (intra-community VAT: RO50313950), invoices to VAT-registered businesses within the EU are issued under the reverse charge mechanism.
5. Service Level
- Bot uptime: We aim for 99.5% uptime for hosted WhatsApp bots
- Support: Monday–Friday, 09:00–18:00 CET via email
- Response time: Within 24 hours for standard requests, same-day for critical issues
- Maintenance: Monthly fee includes monitoring, bug fixes, and minor adjustments
6. Client Responsibilities
As a client, you agree to:
- Provide accurate business information for bot configuration
- Comply with WhatsApp Business Policy and applicable messaging laws
- Not use the bot for spam, illegal activities, or misleading communications
- Maintain your own WhatsApp Business account registration
- Pay invoices within the agreed payment terms
7. Intellectual Property
- The bot configuration, system prompts, and custom code built for your business are yours
- The underlying platform, tools, and frameworks used remain the property of The Company and their respective owners
- We retain the right to use general knowledge and non-confidential techniques in future projects
8. Data & Privacy
Your data is handled in accordance with our Privacy Policy. Key points:
- Each client gets an isolated database — data is never shared between clients
- All data is stored on EU servers
- We comply with GDPR and can sign a Data Processing Agreement
- Conversation data is processed to provide the service but not used for third-party AI training
9. Cancellation & Termination
- Monthly services can be cancelled with 30 days written notice
- Upon cancellation, we export your data and delete it from our systems within 30 days
- Setup fees are non-refundable once work has begun
- We reserve the right to terminate services if payment is overdue by more than 30 days
10. Limitation of Liability
- The Company is not liable for indirect, incidental, or consequential damages
- Our total liability is limited to the amount paid for services in the preceding 3 months
- We are not responsible for WhatsApp/Meta platform outages or policy changes
- AI responses are generated automatically — we optimize for accuracy but cannot guarantee 100% correct responses
11. Governing Law
These Terms are governed by the laws of Romania. For EU clients, mandatory consumer protection laws of your country of residence also apply. Any disputes will be resolved through negotiation first, and if necessary, through the courts of Romania.
12. Changes to These Terms
We may update these Terms from time to time. Active clients will be notified of significant changes via email at least 15 days before they take effect.
